Terms of Service

By accessing this website or engaging KeyRamp Tech for services, you agree to these Terms of Service. If you are entering an agreement on behalf of a company, you confirm you have authority to bind that company. Specific projects are additionally governed by individual proposals and statements of work, which take precedence where they differ from these terms.

We provide web development, eCommerce development, AI automation, integration, maintenance, optimization, and related technology services as described on this website. Service descriptions are general in nature; the specific scope, deliverables, timeline, and price for your project are defined in your written proposal before work begins.

Project quotes are fixed-price and valid for 30 days from issue. Standard payment structure is 40% to commence work, 40% at the agreed mid-project milestone, and 20% upon completion, unless your proposal states otherwise. Recurring services (maintenance, SEO, support) bill monthly in advance and may be cancelled with 30 days written notice.

Deposits become non-refundable once work has commenced, as they compensate work already performed. If we fail to deliver agreed work, you are entitled to a refund proportional to undelivered scope.

Timely project delivery depends on you providing content, feedback, approvals, and access credentials when requested. Delays in client-side inputs may extend timelines accordingly. You confirm that all materials you provide (text, images, data) are owned by you or properly licensed, and you indemnify us against claims arising from materials you supply.

Upon receipt of full payment, ownership of the custom code, designs, and content we create for your project transfers to you. We retain the right to use general knowledge, techniques, and non-proprietary components developed during the engagement, and to reference the project in our portfolio unless you request otherwise in writing.

Third-party components (open-source libraries, premium plugins, stock assets) remain governed by their own licenses, which we will identify on request.

We warrant that delivered work will materially conform to the agreed specification for 30 days after launch, and we will fix non-conforming defects in that period at no charge. This warranty excludes issues caused by third-party changes, client modifications, hosting failures, or software updates outside our control. Extended coverage is available through our maintenance plans.

To the maximum extent permitted by law, KeyRamp Tech's total liability arising from any project or service is limited to the amount you paid for that project or service. We are not liable for indirect, incidental, or consequential damages, including lost profits, lost data, or business interruption, even if advised of their possibility. Nothing in these terms limits liability that cannot be limited by law.

We treat all non-public information you share with us as confidential and use it only to deliver your project. We are happy to sign a mutual NDA before discussing sensitive projects. Both parties agree not to disclose the other's confidential information to third parties without written consent, except as required by law.

Either party may terminate an engagement with written notice. Upon termination, you pay for all work completed to date, and we deliver all completed and in-progress work covered by that payment. Sections concerning intellectual property, confidentiality, and liability survive termination.
